This offer is conditioned on your satisfactory completion of certain requirements, as more fully explained in this letter.

In consideration of the mutual covenants and undertakings contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereby agree as follows:

Title and Start Date

Employment Responsibilities and Benefits

You will perform the duties and responsibilities that are listed on Appendix A. In addition you will perform duties and responsibilities as may be assigned to you from time to time.
Your duties and responsibilities may be periodically updated to reflect client and Company needs. You agree to devote your full business time (40 hours per week), attention, and best efforts to the performance of your duties and to the furtherance of the Company’s interests.

You will be eligible to participate in the Company’s [quarterly] staff treatment and education days. As part of your employment benefits you may receive up to [$] a year in complimentary staff treatments and products.

Full time employees of the Company are eligible to participate in a number of Company- sponsored benefits, such as health, vision, and dental insurance benefits after 30 days of employment. The Company pays [X] % of the premium and the employee pays the other [X]% for health, vision, and dental insurance. In order to receive access to those benefits, you must work [X] hours or more on a weekly basis and sign up during your onboarding or during an open enrollment period.

Salary, Pay Schedule and PTO

In consideration of your services, you will be paid a salary of [$] per year, plus discretionary bonuses, payable in accordance with the payroll practices of the Company and subject to all withholdings and deductions as required by law and the policies of the Company.

You will be paid semi-monthly. For example, work completed on the 1-15th is payable on the 30th of the same month.

The Company offices are open Monday through Friday, between the hours of [Hours] and Saturdays between the hours of [Hours]. You are expected to work an average of 40 hours per week and to be available to work during these times. Hours vary depending on business needs and hours of operation, including Saturday and Sunday.

As long as the Company employs the Employee, the Employee will attend all trainings that are required by the Company and will be paid to attend the same.

The Company is closed for the following holidays in 2019, and 6 holidays per year thereafter.

You will be entitled to paid time off (“PTO”) annually of 2 weeks. PTO is a combination of vacation, personal leave and sick days. The Company recognizes the holidays above as additions to this number.

PTO will accrue on a monthly basis after the 90 day initial period. Any time off requests must be made 60 days in advance. Vacation time must be coordinated with other in-office providers to make sure at least one provider is available to work and must be pre-approved by your manager.

The Company will provide professional malpractice insurance against claims for bodily injury, death and/or property damage arising out of the master provider’s provision of professional services with limits acceptable to the Company, at Company’s expense.

You will be eligible for reimbursement of CME courses and license fees to maintain your current license, up to $[X] per year combined. Eligibility for this reimbursement will begin accruing on a monthly basis after the 90 day initial period.

You represent that you currently have a valid and unrestricted [State and Type] License and will notify the Employer if anything impacting your license occurs.

Employment with the Company is for no specific period of time. Employment with the Company is “at will,” meaning that either you or the Company may terminate your employment at any time and for any reason, with or without cause.

Although your job duties, title, compensation and benefits, as well as the Company’s personnel policies and procedures, may change from time to time, the “at will” nature of your employment may only be changed in an express written agreement signed by you and the Company. We request that, in the event of resignation, you give the Company at least [X] days notice.

The Company reserves the right to conduct background and/or reference checks on all prospective employees. Your job offer is contingent upon clearance of such background and/or reference check as applicable. This offer will be withdrawn if any of the above conditions in this document are not satisfied.

You will be expected to abide by and adhere to the Company’s rules and standards. [Specifically, you will be required to sign an acknowledgment that you have read and that you understand the the Company employee handbook.] As a condition of your employment, you will be subject to all applicable employment and other policies of the Company. You will also agree to execute any additional agreements required by the Company at the start of your employment. You further agree that at all times during your employment (and afterwards as applicable), you will be bound by, and will fully comply with, these additional agreements.

We also ask that, if you have not already done so, you disclose to us any and all agreements relating to your prior employment that may affect your eligibility to be employed by the Company. In addition, you agree not to bring any third party confidential information to the Company from your former employer.

Confidentiality

The protection of confidential business information and trade secrets is vital to the interests and the success of the Company. Such confidential information includes, but is not limited to, the following examples:

• Customer lists
• Financial information
• Marketing strategies
• New materials research
• Proprietary product processes
• Research and development strategies
• Technological data
• Technological prototypes
• Training processes and materials
• Company systems, processes, and programs

During employment with the Company confidentiality is very important. Company associates may become aware of information of a proprietary and confidential nature. Such information includes, but is not limited to, discussing salary, bonus and/or compensation package information, information pertaining to the Company’s costs, sales figures, customer lists and advertising. It is a violation of Company policy to disclose any information of a confidential nature to anyone outside of the Company (including but not limited to friends and relatives) or to other Company associates if they do not need to know about such information in the performance of their job duties.
Any employee or former employee who discloses trade secrets or confidential business information will be subject to disciplinary action, even if he or she does not actually benefit from the disclosed information. Former employees will be pursued to the fullest extent of the law.

By signing this letter, you confirm with the Company that you are under no contractual or other legal obligations that would prohibit you from performing your duties with the Company. You further confirm that you will not remove or take any documents or proprietary data or materials of any kind, electronic or otherwise, with you from your current or former employer to the Company without written authorization from your current or former employer, nor will you use or disclose any such confidential information during the course and scope of your employment with the Company.

As a condition of your employment, you are also required to assign patent rights to any invention or technique made during your employment at the Company.

Miscellaneous

This letter and other accompanying documents supersede and replace any prior understandings or agreements, whether oral, written or implied, between you and the Company regarding the matters described in this letter.

The law of the State of [State] shall govern all questions concerning the construction, validity and interpretation of this document, without regard to such state’s conflict of laws rules. Any disputes relating to this document shall be adjudicated in [County Name] County in the State of [State].
